Corporate
Matters
The corporate practice of Harris & Weiss includes six
major areas: mergers and acquisitions, corporate finance and securities,
international transactions, investment fund management, private equity
and corporate restructuring. Though our practice is generally transactional
in nature, we also provide day-to-day advice to clients on general
corporate matters.
We manage every aspect of sophisticated corporate transactions, from the initial
stages involving advice as to appropriate structures, strategies and tactics
through the preparation and negotiation of the necessary documents for closing.

Intellectual Property
Our IP attorneys include many nationally known trial attorneys
and appellate practice specialists. The firm’s IP attorneys
have a wealth of experience in all facets of IP litigation, strategic
counseling and procurement as well as in IP audits and transactional
practice. The IP practice offers client service teams taken from
these multidisciplinary groups to provide an integrated approach
to IP counseling and service.
Real Estate
The real estate and finance practice — one of the
firm’s core practices — has the capability to focus
on every aspect of even the most complex transactions. We have
extensive experience representing major public and private corporations,
commercial and industrial developers, REITs, REMICs, commercial
banks, insurance companies, institutional lenders, pension funds,
mortgage servicers, investment bankers, contractors, domestic and
offshore investors, hospitals and governments in a wide range of
traditional and innovative real estate related matters and projects.

Litigation
Our lawyers have years of litigation experience and varied
backgrounds. Many of our litigators have previously represented
the United States at the Department of Justice in criminal, civil,
antitrust, environmental and appellate matters. Others served with
the Securities and Exchange Commission, Federal Trade Commission
and many other federal agencies.
The firm's litigation group has extensive experience in all aspects of federal
and state commercial litigation. Representations include routine lawsuits,
as well as matters of extraordinary complexity, including nationwide class
actions, parallel civil and administrative proceedings, nationwide and multidistrict
litigation, and matters involving massive document productions and other complicated
discovery issues. In addition, our litigators have represented clients in many
high-profile cases.
Taxation
Our tax practice offers a full-service approach to planning,
structuring, implementing and resolving a wide range of tax-related
issues. Our clients come to us with challenges relating to their
broad business objectives, specific transactions and individual
needs. In meeting these needs we often help our clients to identify,
